These Terms of Use govern your access to and use of the Precision Quality Works website, digital products, downloadable files, RevisionWatch™ subscription services, and related content and services.By accessing this website, purchasing or downloading a PQW product, or subscribing to RevisionWatch™, you agree to these Terms of Use. If you do not agree with these terms, please do not purchase, download, or use PQW products or services.
1. Digital Products and LicensePQW digital products, including spreadsheets, templates, checklists, guides, and other downloadable materials, are licensed to the purchaser for internal business use. Purchase of a PQW product does not transfer ownership of the product, its design, formulas, structure, content, or other intellectual property.Unless otherwise stated in writing by PQW, you may use and modify purchased PQW products for your own organization's internal quality-management activities. You may make reasonable internal copies for employees or locations within the purchasing organization.You may not resell, redistribute, publish, sublicense, share outside the purchasing organization, or make PQW products available to third parties, whether in their original or modified form. PQW products may not be incorporated into another product, template library, consulting package, training package, or other offering intended for sale or distribution without prior written permission from Precision Quality Works.
2. Product Use and Customer ResponsibilityPQW products are designed to assist organizations with quality-management, documentation, planning, evaluation, and related activities. They are provided as practical tools and resources and are not a substitute for professional judgment, customer-specific requirements, applicable laws or regulations, or the official requirements of any standard, certification body, registrar, accreditation body, or regulatory authority.The purchaser is responsible for determining whether a PQW product is appropriate for its intended use and for reviewing, adapting, and maintaining the product as necessary for the purchaser's organization, processes, customers, and applicable requirements.Use of a PQW product does not guarantee compliance with ISO, IATF, AS, AIAG, VDA, or any other standard or requirement, nor does it guarantee certification, accreditation, successful audit results, customer approval, or regulatory compliance.Standards, regulations, customer requirements, and industry guidance may change over time. Users remain responsible for verifying that the requirements applicable to their organization are current and properly implemented.
3. RevisionWatch™ Subscription ServiceRevisionWatch™ is a subscription service designed to help subscribers stay informed about changes to standards, guidance, and related requirements that may affect eligible PQW products.PQW monitors selected standards and guidance sources, evaluates identified changes for their potential effect on PQW products, and provides RevisionWatch™ subscribers with relevant notifications and information. RevisionWatch™ is intended as a supplemental monitoring service and does not replace the subscriber's responsibility to monitor, obtain, review, and comply with standards, regulations, customer-specific requirements, or other requirements applicable to its organization.While a RevisionWatch™ subscription remains active, subscribers are eligible to receive a 40% discount on eligible revised PQW products released in response to changes identified through RevisionWatch™. Eligibility, availability, and applicability of revised products are determined by PQW.PQW does not guarantee that RevisionWatch™ will identify every change, publication, interpretation, regulatory development, or customer-specific requirement that may affect a subscriber. Subscribers remain responsible for determining and maintaining compliance with all requirements applicable to their organization.
4. RevisionWatch™ Billing, Renewal, and CancellationRevisionWatch™ subscriptions are billed according to the subscription term and price displayed at the time of purchase. Unless otherwise stated at checkout, subscriptions automatically renew at the end of each subscription term using the payment method associated with the subscription.Subscribers may cancel future renewal of their RevisionWatch™ subscription at any time. Cancellation prevents the subscription from renewing for the next billing period but does not terminate access during a subscription period that has already been paid for. Unless otherwise required by applicable law, previously paid subscription fees are non-refundable.RevisionWatch™ benefits, including subscriber notifications and eligibility for the 40% discount on eligible revised PQW products, remain available through the end of the subscriber's paid subscription period. After the subscription expires, RevisionWatch™ benefits and subscriber pricing are no longer available unless the subscription is renewed.PQW may change RevisionWatch™ subscription pricing, features, or benefits in the future. Any change affecting a subscriber's next renewal will be communicated before the applicable renewal when required by law.
5. Purchases, Pricing, and PaymentPrices for PQW products and services are displayed on the website or at checkout and are subject to change. The price applicable to a purchase is the price displayed at the time the order is submitted, unless an obvious pricing or technical error has occurred.Payment must be completed through the payment methods made available at checkout. PQW may use third-party payment processors to securely process transactions. PQW does not directly store complete payment-card information when payment is processed through a third-party payment provider.Customers are responsible for providing accurate billing and contact information. Any applicable taxes, fees, or other charges required by law may be added to the purchase price where applicable.PQW reserves the right to refuse or cancel an order in cases of suspected fraud, unauthorized payment activity, pricing or technical errors, or other circumstances that reasonably prevent completion of the transaction. If PQW cancels an order after payment has been collected and the product or service has not been provided, the applicable payment will be refunded.
6. Digital Product DeliveryPQW products are primarily digital products delivered electronically. After successful payment, customers will receive access to the purchased product through the delivery method provided at checkout, which may include a download link, confirmation page, email, customer account, or other electronic delivery method.Customers are responsible for providing a valid email address and for downloading and securely retaining copies of purchased files. Access to a download link or other delivery method may be limited in duration or number of downloads.If a customer completes a purchase but is unable to access or download the purchased product, the customer should contact PQW for assistance. PQW will make reasonable efforts to verify the purchase and restore access to the applicable product.Customers are responsible for ensuring that they have compatible software and systems necessary to open, use, and maintain PQW digital products. Product descriptions may identify specific software, file formats, or other technical requirements where applicable.
7. Refunds and Digital ProductsBecause PQW products are digital and may be accessed or downloaded immediately after purchase, sales of digital products are generally final and non-refundable once the product has been delivered or made available for download.If a purchased file is defective, corrupted, materially different from the product described at the time of purchase, or cannot be accessed due to a delivery issue attributable to PQW, the customer should contact PQW for assistance. PQW will make reasonable efforts to correct the issue, provide a replacement file, or, when appropriate, issue a refund.Refunds will not generally be provided because a customer changes their mind, no longer needs the product, lacks compatible software, fails to review stated product requirements before purchase, or determines after purchase that the product is not suitable for their particular organization or intended use.RevisionWatch™ subscription payments are governed by the subscription cancellation and refund provisions in these Terms and the PQW Refund Policy.Nothing in these Terms limits any refund, cancellation, or other consumer right that cannot lawfully be excluded or limited under applicable law.
8. Intellectual PropertyThe PQW website, PQW digital products, downloadable files, spreadsheets, templates, formulas, layouts, designs, written content, graphics, product names, and other materials created or provided by Precision Quality Works are owned by or licensed to PQW and are protected by applicable intellectual property laws.Purchase or use of a PQW product grants only the limited right to use the product as permitted under these Terms. No ownership rights, copyrights, trademarks, or other intellectual property rights are transferred to the purchaser.Except as expressly permitted by these Terms, PQW materials may not be copied, reproduced, republished, distributed, sold, sublicensed, publicly displayed, or used to create products or services for distribution to third parties without prior written permission from Precision Quality Works.The Precision Quality Works name, PQW name and branding, RevisionWatch™ name and branding, and associated logos, product names, and identifying marks may not be used in a manner that suggests endorsement, affiliation, ownership, or authorization by PQW without prior written permission.

Disclaimer of WarrantiesPQW products, website content, RevisionWatch™ services, and related materials are provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law.Precision Quality Works makes reasonable efforts to develop useful, accurate, and reliable quality-management tools and information. However, PQW does not warrant or guarantee that any product, service, notification, recommendation, or other content will be error-free, complete, continuously available, suitable for every organization or application, or sufficient to satisfy any particular standard, customer, certification, regulatory, or legal requirement.PQW does not warrant that use of its products or services will prevent nonconformities, audit findings, customer complaints, product defects, business interruption, certification issues, regulatory action, or other quality-related or business outcomes.To the fullest extent permitted by applicable law, PQW disclaims warranties that may otherwise arise by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except to the extent such warranties cannot lawfully be excluded.

Limitation of LiabilityTo the fullest extent permitted by applicable law, Precision Quality Works and its owners, officers, employees, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of, inability to use, or reliance upon any PQW product, website content, RevisionWatch™ service, notification, or other material or service.This limitation includes, without limitation, losses arising from business interruption, lost profits or revenue, lost data, loss of certification or accreditation, audit findings, customer claims, product defects, recalls, regulatory action, or decisions made based upon information or tools provided by PQW.To the fullest extent permitted by applicable law, the total aggregate liability of Precision Quality Works for any claim arising from or related to a particular PQW product or service will not exceed the amount actually paid by the customer to PQW for the product or service giving rise to the claim during the twelve months preceding the event giving rise to the claim.The limitations in this section apply regardless of the legal theory on which a claim is based and even if PQW has been advised of the possibility of such damages. These limitations do not apply to liability that cannot lawfully be excluded or limited.

Third-Party Standards, Organizations, and ReferencesPQW products and content may reference third-party standards, publications, organizations, methodologies, regulatory requirements, or industry guidance, including materials associated with organizations such as ISO, IATF, AIAG, VDA, and other standards-development, certification, accreditation, regulatory, or industry bodies.All third-party names, standards, trademarks, and related intellectual property remain the property of their respective owners. References are provided for identification, informational, and quality-management purposes and do not imply sponsorship, endorsement, certification, affiliation, or approval of Precision Quality Works or its products by any third party.PQW does not reproduce or provide official copies of third-party standards unless expressly authorized to do so. Customers are responsible for obtaining legitimate, current copies of any standards, publications, or requirements applicable to their organization from the appropriate authorized source.Where PQW products interpret, organize, summarize, or provide tools intended to support requirements associated with a third-party standard or publication, the official source document controls in the event of any discrepancy or uncertainty.
12. Changes to Products, Services, and These TermsPQW may update, modify, improve, replace, or discontinue products, website features, RevisionWatch™ features, or other services from time to time. PQW may also update these Terms of Use when necessary to reflect changes to its products, services, business practices, legal requirements, or other circumstances.When these Terms are materially updated, PQW will revise the Effective Date shown at the top of this page. Additional notice may be provided when required by applicable law or when PQW determines that a change materially affects an existing subscription or customer relationship.Changes to these Terms will apply prospectively from their effective date unless otherwise stated or required by law. Continued use of the PQW website or services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Termination and SuspensionPQW may suspend, restrict, or terminate access to a product, service, RevisionWatch™ subscription, or other PQW resource if a customer violates these Terms, engages in unauthorized copying or distribution of PQW materials, uses PQW products or services unlawfully, engages in fraudulent or abusive activity, fails to make required payments, or otherwise misuses PQW products or services.When reasonably practicable, PQW may provide notice and an opportunity to correct a violation before suspending or terminating access. PQW may take immediate action when necessary to protect its intellectual property, systems, customers, business interests, or legal rights.Termination or suspension does not eliminate any payment obligation or other responsibility that arose before termination. Provisions of these Terms that by their nature should continue after termination, including intellectual property protections, disclaimers, limitations of liability, and restrictions on redistribution, will remain in effect.
14. Governing Law and General TermsThese Terms of Use and any dispute arising from or relating to PQW products, services, or these Terms will be governed by the laws of the State of Michigan, without regard to its conflict-of-law principles, except where applicable law requires otherwise.If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.PQW's failure to enforce any provision of these Terms does not constitute a waiver of that provision or of PQW's right to enforce it in the future.These Terms, together with any applicable product-specific terms, subscription terms, Privacy Policy, and Refund Policy, constitute the agreement between the customer and PQW concerning use and purchase of PQW products and services, except where separate written terms expressly apply.

Cancellation prevents the subscription from renewing for the next billing period but does not terminate access during a subscription period that has already been paid for.RevisionWatch™ benefits, including subscriber notifications and eligibility for the 40% discount on eligible revised PQW products, remain available through the end of the subscriber's paid subscription period.
